Article 1 ............................................ Name And Objective
Section 1.1 ..................... Name
1.1.1 The Name Of The Corporation Shall Be The Saint Bernard Club Of
Puget Sound, And Herein Called The Club.
Section 1.2 ..................... Objectives
1.2.1 To Do All Possible To Bring The Natural Qualities Of Pure Bred
Saint Bernards To Perfection By Selective Breeding.
1.2.2 To Urge Members And Breeders To Accept The Standard Of The Breed As
Approved By The American Kennel Club As The Only Standard Of
Excellence By Which Saint Bernards Shall Be Judged.
1.2.3 To Do All In Its Power To Protect And Advance The Interests Of The
Breed By Encouraging Sportsmanlike Competition At Dog Shows And
Obedience Trials.
1.2.4 To Conduct Sanctioned And Licensed Specialty Shows And Obedience
Trials Under The Rules Of The American Kennel Club.
1.2.5 To Promote The Best Human Relations Between Members Of This Club
And Between Saint Fanciers Everywhere.
1.2.6 To Gather And Disseminate All Facts And Information Pertaining To
Improve The Breed, To Serve Locally As The Primary Authority And
Source Of Information For Any And All Who Seek Knowledge Pertaining
To The Saint Bernard.
Section 1.3 ..................... Non-Profit
1.3.1 The Club Shall Not Be Conducted Or Operated For Profit And No Part
Of Any Profits Or Remainder Or Residue From Dues Or Donations To
The Club Shall Inure To The Benefit Of Any Member Or Individual.
Article 2 .................................................... Membership
Section 2.1 ..................... Eligibility
2.1.1 Membership Shall Be Open To All Persons Eighteen Years Of Age And
Older Who Are In Good Standing With The American Kennel Club And
Who Subscribe To The Purpose Of This Club.
2.1.2 Persons Under Eighteen Years Of Age May Be Eligible For Membership
If A Majority Of The Board Of Directors Approve.
2.1.3 While The Club Primarily Is To Be Representative Of The Breeders
And Exhibitors In The Immediate Area, Membership Is Unrestricted As
To Residence. Ownership Or Co-Ownership Of A Saint Bernard Shall
Not Be A Prerequisite For Membership.
Section 2.2 ..................... Dues
2.2.1 Membership Dues Shall Be As Required By The By-Laws And Are Payable
On Or Before The First Day Of January Of Each Year.
2.2.2 Any Member Whose Dues Or Other Financial Obligations Are Not Paid
By January First Of Each Year Shall Not Have The Rights And
Privileges Of Membership In The Club Until All Arrears Are Paid.
Section 2.3 ..................... Election To Membership
2.3.1 Each Applicant For Membership Shall Apply On A Form Which Has Been
Approved By The Board Of Directors And Which Shall Provide That The
Applicant Agrees To Abide By This Constitution And By-Laws And The
Rules Of The American Kennel Club.
2.3.2 Each Applicant Shall Have The Endorsement Of Two Members In Good
Standing.
2.3.3 Accompanying The Application Form, The Prospective Member Shall
Submit The Scheduled Dues Payment For The Current Year Plus An
Initiation Fee Per The By-Laws.
2.3.4 All Applications Are To Be Filed With The Secretary And Each
Application Form Is To Be Read At The First Meeting Of The Club
Following Its Receipt.
2.3.5 At The Next Club Meeting The Application May Be Voted Upon By A
Motion To Cast A Unanimous Ballot For Election To Membership. If
No Such Motion Is Made Then The Application Will Be Voted Upon By
Secret Ballot And An Affirmative Vote Of 2/3 Of The Members Present
And Voting Shall Be Required To Elect The Applicant.
2.3.6 Applicants For Membership Who Have Been Rejected By The Club May
Not Re-Apply Within Six Months.
Section 2.4 ..................... Termination Of Membership
2.4.1 By Resignation:
2.4.1.1 Any Member May Resign From The Club Upon Written Notice To The
Secretary, But No Member May Resign When In Debt To The Club.
2.4.1.2 Dues Obligation Are Considered To Be A Debt To The Club And
They Become Incurred On The First Day Of January Of Each Year.
2.4.2 By Lapsing:
2.4.2.1 A Membership Will Be Considered To Be Lapsed And Automatically
Terminated If The Member's Dues Remain Unpaid 90 Days After The
First Day Of January Of Each Year, However The Board Of Directors
May Grant An Additional 90 Days Of Grace To Such Delinquent
Members In Meritorious Cases.
2.4.2.2 In No Case May A Person Who Owes A Financial Obligation To The
Club, For Example, Dues, Assessments, Etc., Cast A Vote Or Be
Elected To An Office Or Position Of The Club.
2.4.3 By Expulsion:
2.4.3.1 A Membership May Be Terminated By Expulsion As Herein Provided.
Section 2.5 ..................... Reinstatement
2.5.1 Reinstatement To Membership Shall Be By The Same Method As
Application For A First Time Membership.
Article 3 ............................................ Meeting And Voting
Section 3.1 ..................... Club Meetings
3.1.1 Meetings Of The Club Shall Be Held Monthly In The Puget Sound
Area At Such Date And Place As May Be Designated By The Presiding
Officer With The Approval Of The Board Of Directors.
3.1.2 The Quorum For Such A Meeting Shall Be Five Members Of The Board Of
Directors Plus One Other Club Member In Good Standing.
Section 3.2 ..................... Special Club Meetings
3.2.1 Special Club Meetings May Be Called By The President, Or By A
Majority Vote Of The Members Of The Board Of Directors Who Are
Present And Voting At Any Regular Or Special Meeting Of The Board
Of Directors, Or By The Secretary Upon Receipt Of A Petition Signed
By Five Members In Good Standing.
3.2.2 Such Special Meeting Shall Be Held In The Puget Sound Area And At
Such Time, Date And Place As May Be Designated By The Person Or
Persons Authorized Herein To Call Such Meeting.
3.2.3 Notice Of Such Meeting Shall Be Provided By The Secretary And Said
Notice Shall State The Purpose Of The Meeting, And No Other Club
Business May Be Transacted Thereat.
3.2.4 The Quorum For Such A Meeting Shall Be Five Members Of The Board Of
Directors Plus One Other Club Member In Good Standing.
Section 3.3 ..................... Board Meetings
3.3.1 Meetings Of The Board Of Directors Shall Be Held Monthly At Least Quarterly In The Puget Sound Area At Such Time, Date And Place As May Be Designated By The Board. The Board May Also Hold Monthly Meetings As Necessary.
3.3.2 Notice Of Such Meeting Shall Be Provided Each Member At Least Five
Days Prior To The Date Of The Meeting.
3.3.3 The Quorum For Such Meeting Shall Be A Majority Of The Board.
3.3.4 Any Non-Board Member Of The Club May Attend Any Board Meeting, But
Must Be Recognized By The Presiding Officer To Be Heard, And They
Have No Voting Privileges At Any Board Meeting.
Section 3.4 ..................... Special Board Meetings
3.4.1 Special Meetings Of The Board May Be Called By The President Or By
The Secretary Upon Receipt Of A Written Request Signed By At Least
Three Members Of The Board.
3.4.2 Such Special Meeting Shall Be Held In The Puget Sound Area And At
Such Time, Date And Place As May Be Designated By The Person
Authorized Herein To Call Such Meeting.
3.4.3 The Secretary Shall Provide Reasonable Notice Of Each Such Special
Meeting To Each Member Of The Board.
3.4.4 The Notice Of The Special Meeting Shall State The Purpose Of The
Meeting And No Other Business Shall Be Transacted Thereat.
3.4.5 A Quorum For Such Meeting Shall Be 6 Board Members.
Article 4 ........................................ Directors And Officers
Section 4.1 ..................... Board Of Directors
4.1.1 The Board Of Directors Shall Be Comprised Of The President, The
Vice-President, The Secretary, The Treasurer, And Five Directors,
And Herein May Be Referred To As The Board.
4.1.2 General Management Of The Club's Affairs Shall Be Entrusted To A
Majority Vote Of The Board Of Directors, Except Any Board Action
May Be Overturned By A 2/3 Majority Vote At Any General Or Special
Meeting Of The Membership.
4.1.3 All Members Of The Board Of Directors Shall Be Elected For One Year
Terms At The Club's Annual Meeting As Herein Provided, And Shall
Serve Until Their Successors Are Elected.
4.1.4 In Matters Concerning Interpretation Of This Constitution And By-
Laws A Majority Vote Of The Board Shall Govern.
Section 4.2 ..................... Officers
4.2.1 The Club's Officers, Consisting Of The President, Vice-President,
Secretary And Treasurer Shall Serve In Their Respective Capacities
Both With Regard To The Club And Its Meetings And The Board And Its
Meetings.
4.2.2 The President:
4.2.2.1 The President Shall Preside At All Meetings Of The Club And Of
The Board. And Shall Have The Duties And Powers Normally
Appurtenance To The Office Of President In Addition To Those
Particularity Specified In This Constitution And By-Laws.
4.2.3 The Vice-President:
4.2.3.1 The Vice-President Shall Have The Duties And Exercise The Power
Of The President In Case Of The President's Death, Absence Or
Incapacity.
4.2.4 The Secretary:
4.2.4.1 The Secretary Shall Keep A Record Of All Meetings Of The Club And
Of The Board, And All Matters Of Which A Record Shall Be Ordered
By The Club.
4.2.4.2 The Secretary Shall Have Charge Of The Correspondence, Notify
Officers And Directors Of Their Election To Office, Notify New
Members Of Their Election To Membership, Notify Members Of
Meetings, Keep A Roll Of The Members Of The Club Along With Their
Addresses, And Carry Out Such Other Duties As Are Prescribed By
These Constitution And By-Laws.
4.2.4.3 Normally The Club's Office And Mailing Address For The
Transaction Of Business Is To Be That Of The Incumbent Secretary;
However If An Address Other Than That Of The Incumbent Secretary
Is Used, Copies Of All Correspondence Shall Be Forwarded To The
Incumbent Secretary.
4.2.5 The Treasurer:
4.2.5.1 The Treasurer Shall Collect And Receive All Monies Due Or
Belonging To The Club And Shall Keep A Proper Accounting Of All
Financial Transactions Of The Club.
4.2.5.2 The Treasurer Shall Deposit All Club Funds In A Bank Satisfactory
To The Board, In The Name Of The Club.
4.2.5.3 The Treasurer Shall At All Times Make His Books Open To
Inspection By The Board.
4.2.5.4 At Every Meeting Of The Club Or Board, The Treasurer Shall Report
The Condition Of The Club's Finances, And Every Item Of Receipt
Or Payment Not Before Reported.
4.2.5.5 At The Annual Meeting Of The Club, The Treasurer Render An
Account Of All Monies Received And Or Expended During The
Previous Fiscal Year.
4.2.5.6 The Treasurer Shall Bonded Is Such Amount As The Board Of
Directors Shall Determine.
4.2.5.7 The Treasurer Shall Maintain A List Of All Club Members Upon
Which He Shall Indicate The Standing Of Each Member With Respect
To Debt Owed To The Club; And This List Shall Be Made Available
Only To The President Or Presiding Officer At Any Meeting Or To
The Nominating Committee At Their Request.
Section 4.3 ..................... Appointed Positions
4.3.1 All Appointed Positions Shall Be Made By The President With The
Approval Of The Board, Unless Otherwise Provided For In These
Constitution And By-Laws.
Section 4.4 ..................... Removal Of A Board Member
4.4.1 Any Board Member May Be Removed By The Board Whenever In Its
Judgment The Best Interest Of The Club Would Be Served Thereby,
But Such Removal Shall Be Deemed Without Prejudice And In No Way
Affect His Membership In The Club.
4.4.2 Removal Of An Inactive Member Of The Board.
4.4.2.1 Any Board Member Who Misses Three Regular Board Meetings During
The Club's Official Year, Shall Be Notified By Mail Within One
Week Of The Third Missed Meeting By The Secretary And Asked To
Provide A Justifiable Reason For His Absence At The Next Regular
Board Meeting.
4.4.2.2 If No Reason Is Given At The Next Regular Board Meeting, Or If A
Majority Of The Board Members In Attendance Do Not Agree That The
Absences Were Justifiable, Then That Board Member's Position
Shall Be Declared Vacant.
Section 4.5 ..................... Vacancies
4.5.1 Any Vacancies Occurring During The Year Shall Be Filled For The
Unexpired Term Of Office By A Majority Of The Board Of All The Then
Members Of The Board At Its First Regular Meeting Following The
Creation Of Such Vacancy.
4.5.2 No Vacancy On The Board May Be Filled By A Member Not Eligible To
Be Elected To That Position.
Article 5 ...................... The Club Year, Annual Meeting, Elections
Section 5.1 ..................... The Club Year
5.1.1 The Fiscal Year
5.1.1.1 The Club's Fiscal Year Shall Begin On The First Day Of January
And End On The Last Day Of December Of Each Year.
5.1.2 The Official Year
5.1.2.1 The Club's Official Year Shall Begin Immediately At The
Conclusion Of The Elections At The Annual Meeting And Shall
Continue Through The Election At The Next Annual Meeting.
Section 5.2 ..................... The Annual Meeting
5.2.1 The Regular Monthly Meeting Of The Club Which Is Held During The
Month Of January, Shall Be Designated As The Annual Meeting Which
Directors And Officers For The Ensuing Year Shall Be Elected As
Herein Prescribed.
5.2.2 The Officers And Directors Shall Take Office Immediately Upon The
Conclusion Of The Election And Each Retiring Officer Shall Turn
Over To His Successor In Office All Properties And Records Relating
To That Office Within Thirty Days After The Election.
Section 5.3 ..................... Elections
5.3.1 Election Of Club Officers: The Club Officers Are Elected To Office
Subject To The Following Restrictions.:
5.3.1.1 No One May Be Elected To Office Who Is Not A Member In Good
Standing, Nor Who Has Not Been Nominated As Herein Prescribed,
Nor Who Has Held Membership In The Club For Less Than Six Months
At The Time Of The Election.
5.3.1.2 The Office Of President Shall Not Be Held By The Same Person More
Than Two Consecutive Terms.
5.3.1.3 If The Restriction Herein Precludes Any Office From Being Filled
By A Duly Elected Candidate, That Position Must Be Filled By
Board Action.
5.3.1.4 Each Office Shall Be Filled By The Candidate Who Receives The
Most Votes, Except That Candidate Must Also Receive At Least
Fifty Percent Of The Votes Cast For The Office.
5.3.1.5 If Any Ballot Results In A Tie Vote, Or If No Candidate Receives
At Least Fifty Percent Of The Votes For A Given Office, Then The
Ballot For That Office Shall Be Recast, And No Candidates Name
May Be Removed Unless That Candidate Declares He Is No Longer A
Candidate.
5.3.2 Election Of Club Directors: The Club's Directors Are Elected To
Hold Their Positions Subject To The Following Restrictions:
5.3.2.1 No One May Be Elected To Hold The Position Of Director Who Is Not
A Member In Good Standing, Nor Who Has Not Been Nominated As
Herein Prescribed, Nor Who Has Held Membership In The Club For
Less Than Six Months At The Time Of The Election.
5.3.2.2 If The Restrictions Herein Preclude Any Nominee From Being
Elected, That Persons Name Must Be Deleted From The Ballot Prior
To The Election.
5.3.2.3 If Any Restrictions Preclude One Or More Positions Of Director
From Being Filled By A Duly Elected Candidate, That
Position/Those Positions Must Be Filled By Board Action.
5.3.2.4 The Five Positions Of Director Shall Be Filled By The Five
Candidates Who Receive The Greatest Number Of Votes.
5.3.2.5 If Any Ballot Results In A Tie Vote Such That Five Candidates Do
Not Have The Greatest Number Of Votes, The Ballot Shall Be
Recast, Except That Any Candidate Who Has Received More Votes
Than The Position For Which The Tie Vote Was Cast Shall Be
Declared Elected And That Candidates Name And A Corresponding
Position Shall Be Removed From The Ballot Which Is To Be Recast.
5.3.3 Election Procedure: Club Elections Shall Be Conducted As Follows:
5.3.3.1 The Presiding Officer Shall Be Responsible For The Conduct Of The
Election And Must Ascertain The Eligibility Of All Candidates To
Be Elected And Of All Voters To Cast Votes As The First Order Of
Business At The Start Of The Election Procedure.
5.3.3.2 All Voting To Elect Club Officers Or Directors Must Be
Accomplished Using Secret Written Ballots, Except That Any
Position That Is Unopposed May Be Filled By Voice Vote.
5.3.3.3 All Written Ballots Must List The Name Of Each Office Or Position
Followed By An Alphabetical List Of The Candidates For That
Position And Blank Paper Ballots May Not Be Used.
5.3.3.4 The Presiding Officer Shall Appoint Three Club Members To Be The
Tellers Committee And Charge Them With Their Function And
Responsibilities.
5.3.3.5 All Handling Of The Ballots Must Be Done By The Members Of The
Tellers Committee Who Shall; Receive The Preprinted Ballots,
Delete All Candidates Names As Instructed By The Presiding
Officer, Pass Out The Ballot Slips And Collect Them After They
Have Been Marked, Prepare All Recast Ballots As Instructed By The
Presiding Officer, Secure Each Set Of Ballots In A Sealed
Envelope Which Has Affixed To Its Face A Summary Of The Voting,
The Ballot Number, The Date And The Signatures Of Each Member Of
The Tellers Committee.
5.3.3.6 At The End Of The Election, The Tellers Committee Shall Give The
Club Secretary The Complete Package Of Secured Ballots, And The
Secretary Shall Keep The Ballots Secure For A Period Of Six
Months And Then Destroy All Of The Ballots.
5.3.3.7 All Questions Arising During The Course Of An Election Shall Be
Settled By A Ruling From The Chair, Except That Any Such Ruling
Can Be Overturned By A Motion To Appeal.
5.3.3.8 The Election Is Final When The Chair Declares The Candidate Or
Candidates To Be Elected.
5.3.3.9 The Chair Shall Declare A Candidate To Be Elected Upon Receipt Of
Such Notification From The Tellers Committee And The Chair At
That Time Shall Announce The Ballot Tally.
5.3.3.10 If Any Ballot For Any Office Or Position Has Been Cast Three
Times Without Any Change In Results, The Tellers Committee Shall
Inform The Chair That An Impasse Has Been Reached, Whereupon The
Tellers Committee Shall Conduct A Drawing Of Lots To Resolve The
Election And The Chair Must Declare The Winning Candidate To Be
Elected.
Section 5.4 ..................... Nominations
5.4.1 The Nominating Committee
5.4.1.1 During The Month Of October The Board Shall Select A Nominating
Committee Of Three Members And One Alternates, Not More Than One
Of Whom Shall Be A Member Of The Board.
5.4.1.2 The Secretary Shall Immediately Notify The Committee Members And
The Alternates Of Their Selection.
5.4.1.3 The Board Shall Name A Chairman For This Committee And It Shall
Be His Duty To Call A Committee Meeting Which Shall Be Held On Or
Before November 15th Of Each Year.
5.4.2 The Nominating Procedure
5.4.2.1 The Nominating Committee Shall Nominate A Minimum Of One
Candidate For Each Office And A Minimum Of Five For The Five
Other Position On The Board.
5.4.2.2 After Securing The Consent Of Each Person Nominated, The Chairman
Of The Nominating Committee Shall Report The Nominations To The
Secretary In Writing.
5.4.2.3 At Least Five Days Prior To The December General Meeting The
Secretary Shall Notify Each Member In Writing Of The Candidates
Which Have Been Nominated.
5.4.2.4 Additional Nominations May Be Made At The December Meeting By Any
Member In Attendance, Provided That The Person So Nominated Does
Not Decline When His Name Is Proposed, And Provided Further That
If The Proposed Candidate Is Not In Attendance At This Meeting,
His Proposer Shall Present To The Secretary A Written Statement
From The Proposed Candidate Signifying His Willingness To Be A
Candidate.
5.4.2.5 No Person May Be A Candidate For More Than One Position And The
Additional Nominations Which Are Provided For Herein May Only Be
Made From Among Those Members In Good Standing Who Have Not
Accepted A Nomination Of The Nominating Committee.
5.4.2.6 Nominations Cannot Be Made At The Annual Meeting, Or In Any
Manner Other Than As Herein Provided.
5.4.2.7 No Person May Be A Candidate In A Club Election Who Has Not Been
Nominated As Herein Prescribed.
Article 6 ....................................................Committees
Section 6.1 ..................... Appointments
6.1.1 The President With The Prior Approval Of The Board, Shall Each Year
Appoint The Chairman Of All Standing And Special Committees.
6.1.2 Special Committees May Be Appointed By The Board To Aid It On
Particular Projects To Advance The Work Of The Club In Any Field
Which May Be Well Served By Committees.
6.1.3 All Standing Committees Other Than The Nominating Committee, All
Special Committees And All Such Committee Activity Shall Be Subject
To The Final Authority Of The Board.
Section 6.2 ..................... Termination
6.2.1 With The Prior Approval Of The Board Any Committee Appointment May
Be Terminated By The President.
6.2.2 The Appointee Shall Receive Written Notice That His Appointment Has
Been Terminated.
6.2.3 The President With The Prior Approval Of The Board, May Appoint
Successors To Those Whose Services Have Been Terminated.
Section 6.3 ..................... Term Of Appointment

6.8.1 Within Thirty Days Of Filling An Appointment The Board Shall
Provide The Appointee With A Written Job Description Of That
Persons Functions, And Authority, And Such Description Shall Be

6.8.2 The Job Description Shall Contain, But Not Necessarily Be Limited
To, The Maximum Amount Of Club Money The Person May Expend And The
Type Of Activities The Person May Undertake On The Club's Behalf
Without Requiring Prior Board Approval By Any Board Member Or The
Board As A Whole.

Section 7.1 ..................... American Kennel Club Suspension
7.1.1 Any Member Who Is Suspended From The Privileges Of The American
Kennel Club Shall Automatically Be Suspended From Privileges Of
This Club For A Like Period.
7.1.2 Any Suspended Member Shall, Upon Attending His Second Consecutive
Club Meeting After The AKC Suspension, Be Reinstated Without
Prejudice Except That He Shall Not Automatically Be Reinstated To
Any Former Office Or Position.
Section 7.2 ..................... Charges
7.2.1 Any Member May Prefer Charges Against Another Member For Misconduct
Prejudicial To The Best Interests Of The Club Or The Board.
7.2.2 Written Charges With Specifications Must Be Filed In Duplicate With
The Secretary Together With A Deposit Of Ten Dollars Which Shall Be
Forfeited If Such Charges Are Not Sustained.
7.2.3 The Secretary Shall Promptly Notify The Board, Which Shall Fix A
Date Of A Board Hearing Which Must Be Held Not Less Than Three
Weeks Nor More Than Six Weeks After The Charges Have Been Filed.
7.2.4 The Secretary Shall Promptly Send One Copy Of The Charges The
Accused Member By Registered Mail Together With A Notice Of The
Time, Date And Place Of The Hearing, And An Assurance That The
Defendant May Personally Appear In His Own Defense And Bring
Witnesses If He Wishes.
Section 7.3 ..................... Board Hearings
7.3.1 Board Hearings Shall Be Called To Sustain Or Reject Charges Brought
Against Club Members As Herein Prescribed.
7.3.2 The Board Shall Have Complete Authority To Decide Whether Counsel
May Attend The Hearing, But Both Complainant And Defendant Shall Be
Treated Uniformly In That Regard.
7.3.3 Should The Charges Be Sustained, After Hearing All The Evidence And
Testimony Presented By Complainant And Defendant, The Board May By
A Majority Vote Of Those Present, Suspend The Defendant From All
Privileges Of The Club For Not More Than Six Months From The Date
Of The Hearing, And If The Board Deems That Punishment
Insufficient, It May Also Recommended To The Membership That The
Penalty Be Expulsion.
7.3.4 If The Board Recommends Expulsion, The Suspension Shall Not
Restrict The Defendants Right To Appear Before His Fellow Members
At The Ensuing Meeting Which Considers The Boards Recommendation.
7.3.5 Immediately After The Board Has Reached A Decision Its Findings
Shall Be Put In Written Form And Filed With The Secretary, Who In
Turn Shall Notify Each Of The Parties Of The Boards Decision And
Penalty, If Any.
Section 7.4 ..................... Expulsion
7.4.1 Expulsion Of A Member From The Club May Be Accomplished Only At A
Meeting Of The Club Following A Board Hearing And Upon The Boards
Recommendation As Herein Prescribed.
7.4.2 Expulsion Proceedings May Occur At A Regular Or Special Club
Meeting To Be Held Within Sixty Days, But Not Earlier Than 30 Days
After The Date Of The Boards Recommendation Of Expulsion.
7.4.3 At The Expulsion Proceedings, The Defendant Shall Have The
Privilege Of Appearing In His Own Behalf, Though No Evidence Shall
Be Taken At This Meeting.
7.4.4 The Presiding Officer At The Expulsion Proceedings Shall Read The
Charges And The Boards Findings And Recommendations, And Shall
Invite The Defendant, If Present, To Speak In His Own Behalf If He
Wishes, Thereupon The Membership Shall Vote By Secret Ballot On The
Proposed Expulsion.
7.4.5 A 2/3 Vote Of Those Present And Voting At The Expulsion Proceedings
Shall Be Necessary For Expulsion.
7.4.6 If Expulsion Is Not So Voted, The Boards Suspension Shall Stand.

8.1.1 Amendments To These Constitution And By-Laws May Be Proposed By The
Board Of Directors Or By Written Petition Addressed To The

Puget Sound, And Herein Called The Club.

1.2.2 To Urge Members And Breeders To Accept The Standard Of The Breed As

2.1.1 Membership Shall Be Open To All Persons Eighteen Years Of Age And
Older Who Are In Good Standing With The American Kennel Club And
Who Subscribe To The Purpose Of This Club.
2.1.2 Persons Under Eighteen Years Of Age May Be Eligible For Membership
If A Majority Of The Board Of Directors Approve.
2.1.3 While The Club Primarily Is To Be Representative Of The Breeders
And Exhibitors In The Immediate Area, Membership Is Unrestricted As
To Residence. Ownership Or Co-Ownership Of A Saint Bernard Shall
Not Be A Prerequisite For Membership.
Section 2.2 ..................... Dues
2.2.1 Membership Dues Shall Be As Required By The By-Laws And Are Payable
On Or Before The First Day Of January Of Each Year.
2.2.2 Any Member Whose Dues Or Other Financial Obligations Are Not Paid
By January First Of Each Year Shall Not Have The Rights And
Privileges Of Membership In The Club Until All Arrears Are Paid.
Section 2.3 ..................... Election To Membership
2.3.1 Each Applicant For Membership Shall Apply On A Form Which Has Been
Approved By The Board Of Directors And Which Shall Provide That The
Applicant Agrees To Abide By This Constitution And By-Laws And The
Rules Of The American Kennel Club.
2.3.2 Each Applicant Shall Have The Endorsement Of Two Members In Good
Standing.
2.3.3 Accompanying The Application Form, The Prospective Member Shall
Submit The Scheduled Dues Payment For The Current Year Plus An
Initiation Fee Per The By-Laws.
2.3.4 All Applications Are To Be Filed With The Secretary And Each
Application Form Is To Be Read At The First Meeting Of The Club
Following Its Receipt.
2.3.5 At The Next Club Meeting The Application May Be Voted Upon By A
Motion To Cast A Unanimous Ballot For Election To Membership. If
No Such Motion Is Made Then The Application Will Be Voted Upon By
Secret Ballot And An Affirmative Vote Of 2/3 Of The Members Present
And Voting Shall Be Required To Elect The Applicant.
2.3.6 Applicants For Membership Who Have Been Rejected By The Club May
Not Re-Apply Within Six Months.
Section 2.4 ..................... Termination Of Membership
2.4.1 By Resignation:
2.4.1.1 Any Member May Resign From The Club Upon Written Notice To The
Secretary, But No Member May Resign When In Debt To The Club.
2.4.1.2 Dues Obligation Are Considered To Be A Debt To The Club And
They Become Incurred On The First Day Of January Of Each Year.
2.4.2 By Lapsing:
2.4.2.1 A Membership Will Be Considered To Be Lapsed And Automatically
Terminated If The Member's Dues Remain Unpaid 90 Days After The
First Day Of January Of Each Year, However The Board Of Directors
May Grant An Additional 90 Days Of Grace To Such Delinquent
Members In Meritorious Cases.
2.4.2.2 In No Case May A Person Who Owes A Financial Obligation To The
Club, For Example, Dues, Assessments, Etc., Cast A Vote Or Be
Elected To An Office Or Position Of The Club.
2.4.3 By Expulsion:
2.4.3.1 A Membership May Be Terminated By Expulsion As Herein Provided.
Section 2.5 ..................... Reinstatement
2.5.1 Reinstatement To Membership Shall Be By The Same Method As
Application For A First Time Membership.
Article 3 ............................................ Meeting And Voting
Section 3.1 ..................... Club Meetings
3.1.1 Meetings Of The Club Shall Be Held Monthly In The Puget Sound
Area At Such Date And Place As May Be Designated By The Presiding
Officer With The Approval Of The Board Of Directors.
3.1.2 The Quorum For Such A Meeting Shall Be Five Members Of The Board Of
Directors Plus One Other Club Member In Good Standing.

3.2.1 Special Club Meetings May Be Called By The President, Or By A
Majority Vote Of The Members Of The Board Of Directors Who Are
Present And Voting At Any Regular Or Special Meeting Of The Board
Of Directors, Or By The Secretary Upon Receipt Of A Petition Signed
By Five Members In Good Standing.
3.2.2 Such Special Meeting Shall Be Held In The Puget Sound Area And At
Such Time, Date And Place As May Be Designated By The Person Or
Persons Authorized Herein To Call Such Meeting.
3.2.3 Notice Of Such Meeting Shall Be Provided By The Secretary And Said
Notice Shall State The Purpose Of The Meeting, And No Other Club
Business May Be Transacted Thereat.
3.2.4 The Quorum For Such A Meeting Shall Be Five Members Of The Board Of
Directors Plus One Other Club Member In Good Standing.

3.3.1 Meetings Of The Board Of Directors Shall Be Held Monthly At Least Quarterly In The Puget Sound Area At Such Time, Date And Place As May Be Designated By The Board. The Board May Also Hold Monthly Meetings As Necessary.
3.3.2 Notice Of Such Meeting Shall Be Provided Each Member At Least Five

Must Be Recognized By The Presiding Officer To Be Heard, And They

3.4.1 Special Meetings Of The Board May Be Called By The President Or By
The Secretary Upon Receipt Of A Written Request Signed By At Least
Three Members Of The Board.
3.4.2 Such Special Meeting Shall Be Held In The Puget Sound Area And At
Such Time, Date And Place As May Be Designated By The Person
Authorized Herein To Call Such Meeting.
3.4.3 The Secretary Shall Provide Reasonable Notice Of Each Such Special
Meeting To Each Member Of The Board.
3.4.4 The Notice Of The Special Meeting Shall State The Purpose Of The
Meeting And No Other Business Shall Be Transacted Thereat.
3.4.5 A Quorum For Such Meeting Shall Be 6 Board Members.
Article 4 ........................................ Directors And Officers
Section 4.1 ..................... Board Of Directors
4.1.1 The Board Of Directors Shall Be Comprised Of The President, The
Vice-President, The Secretary, The Treasurer, And Five Directors,
And Herein May Be Referred To As The Board.
4.1.2 General Management Of The Club's Affairs Shall Be Entrusted To A
Majority Vote Of The Board Of Directors, Except Any Board Action
May Be Overturned By A 2/3 Majority Vote At Any General Or Special
Meeting Of The Membership.
4.1.3 All Members Of The Board Of Directors Shall Be Elected For One Year
Terms At The Club's Annual Meeting As Herein Provided, And Shall
Serve Until Their Successors Are Elected.
4.1.4 In Matters Concerning Interpretation Of This Constitution And By-
Laws A Majority Vote Of The Board Shall Govern.
Section 4.2 ..................... Officers
4.2.1 The Club's Officers, Consisting Of The President, Vice-President,
Secretary And Treasurer Shall Serve In Their Respective Capacities
Both With Regard To The Club And Its Meetings And The Board And Its
Meetings.
4.2.2 The President:
4.2.2.1 The President Shall Preside At All Meetings Of The Club And Of
The Board. And Shall Have The Duties And Powers Normally
Appurtenance To The Office Of President In Addition To Those
Particularity Specified In This Constitution And By-Laws.
4.2.3 The Vice-President:
4.2.3.1 The Vice-President Shall Have The Duties And Exercise The Power
Of The President In Case Of The President's Death, Absence Or
Incapacity.
4.2.4 The Secretary:
4.2.4.1 The Secretary Shall Keep A Record Of All Meetings Of The Club And
Of The Board, And All Matters Of Which A Record Shall Be Ordered
By The Club.
4.2.4.2 The Secretary Shall Have Charge Of The Correspondence, Notify
Officers And Directors Of Their Election To Office, Notify New
Members Of Their Election To Membership, Notify Members Of
Meetings, Keep A Roll Of The Members Of The Club Along With Their
Addresses, And Carry Out Such Other Duties As Are Prescribed By
These Constitution And By-Laws.
4.2.4.3 Normally The Club's Office And Mailing Address For The
Transaction Of Business Is To Be That Of The Incumbent Secretary;
However If An Address Other Than That Of The Incumbent Secretary
Is Used, Copies Of All Correspondence Shall Be Forwarded To The
Incumbent Secretary.
4.2.5 The Treasurer:
4.2.5.1 The Treasurer Shall Collect And Receive All Monies Due Or
Belonging To The Club And Shall Keep A Proper Accounting Of All
Financial Transactions Of The Club.
4.2.5.2 The Treasurer Shall Deposit All Club Funds In A Bank Satisfactory
To The Board, In The Name Of The Club.
4.2.5.3 The Treasurer Shall At All Times Make His Books Open To
Inspection By The Board.
4.2.5.4 At Every Meeting Of The Club Or Board, The Treasurer Shall Report
The Condition Of The Club's Finances, And Every Item Of Receipt
Or Payment Not Before Reported.
4.2.5.5 At The Annual Meeting Of The Club, The Treasurer Render An
Account Of All Monies Received And Or Expended During The
Previous Fiscal Year.
4.2.5.6 The Treasurer Shall Bonded Is Such Amount As The Board Of
Directors Shall Determine.
4.2.5.7 The Treasurer Shall Maintain A List Of All Club Members Upon
Which He Shall Indicate The Standing Of Each Member With Respect
To Debt Owed To The Club; And This List Shall Be Made Available
Only To The President Or Presiding Officer At Any Meeting Or To
The Nominating Committee At Their Request.
Section 4.3 ..................... Appointed Positions
4.3.1 All Appointed Positions Shall Be Made By The President With The
Approval Of The Board, Unless Otherwise Provided For In These
Constitution And By-Laws.
Section 4.4 ..................... Removal Of A Board Member
4.4.1 Any Board Member May Be Removed By The Board Whenever In Its
Judgment The Best Interest Of The Club Would Be Served Thereby,
But Such Removal Shall Be Deemed Without Prejudice And In No Way
Affect His Membership In The Club.
4.4.2 Removal Of An Inactive Member Of The Board.
4.4.2.1 Any Board Member Who Misses Three Regular Board Meetings During
The Club's Official Year, Shall Be Notified By Mail Within One
Week Of The Third Missed Meeting By The Secretary And Asked To
Provide A Justifiable Reason For His Absence At The Next Regular
Board Meeting.
4.4.2.2 If No Reason Is Given At The Next Regular Board Meeting, Or If A
Majority Of The Board Members In Attendance Do Not Agree That The
Absences Were Justifiable, Then That Board Member's Position
Shall Be Declared Vacant.
Section 4.5 ..................... Vacancies
4.5.1 Any Vacancies Occurring During The Year Shall Be Filled For The
Unexpired Term Of Office By A Majority Of The Board Of All The Then
Members Of The Board At Its First Regular Meeting Following The
Creation Of Such Vacancy.
4.5.2 No Vacancy On The Board May Be Filled By A Member Not Eligible To
Be Elected To That Position.

5.3.1 Election Of Club Officers: The Club Officers Are Elected To Office
Subject To The Following Restrictions.:
5.3.1.1 No One May Be Elected To Office Who Is Not A Member In Good
Standing, Nor Who Has Not Been Nominated As Herein Prescribed,
Nor Who Has Held Membership In The Club For Less Than Six Months
At The Time Of The Election.
5.3.1.2 The Office Of President Shall Not Be Held By The Same Person More
Than Two Consecutive Terms.
5.3.1.3 If The Restriction Herein Precludes Any Office From Being Filled
By A Duly Elected Candidate, That Position Must Be Filled By
Board Action.
5.3.1.4 Each Office Shall Be Filled By The Candidate Who Receives The
Most Votes, Except That Candidate Must Also Receive At Least
Fifty Percent Of The Votes Cast For The Office.
5.3.1.5 If Any Ballot Results In A Tie Vote, Or If No Candidate Receives
At Least Fifty Percent Of The Votes For A Given Office, Then The
Ballot For That Office Shall Be Recast, And No Candidates Name
May Be Removed Unless That Candidate Declares He Is No Longer A
Candidate.
5.3.2 Election Of Club Directors: The Club's Directors Are Elected To
Hold Their Positions Subject To The Following Restrictions:
5.3.2.1 No One May Be Elected To Hold The Position Of Director Who Is Not
A Member In Good Standing, Nor Who Has Not Been Nominated As
Herein Prescribed, Nor Who Has Held Membership In The Club For
Less Than Six Months At The Time Of The Election.
5.3.2.2 If The Restrictions Herein Preclude Any Nominee From Being
Elected, That Persons Name Must Be Deleted From The Ballot Prior
To The Election.
5.3.2.3 If Any Restrictions Preclude One Or More Positions Of Director
From Being Filled By A Duly Elected Candidate, That
Position/Those Positions Must Be Filled By Board Action.
5.3.2.4 The Five Positions Of Director Shall Be Filled By The Five
Candidates Who Receive The Greatest Number Of Votes.
5.3.2.5 If Any Ballot Results In A Tie Vote Such That Five Candidates Do
Not Have The Greatest Number Of Votes, The Ballot Shall Be
Recast, Except That Any Candidate Who Has Received More Votes
Than The Position For Which The Tie Vote Was Cast Shall Be
Declared Elected And That Candidates Name And A Corresponding
Position Shall Be Removed From The Ballot Which Is To Be Recast.
5.3.3 Election Procedure: Club Elections Shall Be Conducted As Follows:
5.3.3.1 The Presiding Officer Shall Be Responsible For The Conduct Of The
Election And Must Ascertain The Eligibility Of All Candidates To
Be Elected And Of All Voters To Cast Votes As The First Order Of
Business At The Start Of The Election Procedure.
5.3.3.2 All Voting To Elect Club Officers Or Directors Must Be
Accomplished Using Secret Written Ballots, Except That Any
Position That Is Unopposed May Be Filled By Voice Vote.
5.3.3.3 All Written Ballots Must List The Name Of Each Office Or Position
Followed By An Alphabetical List Of The Candidates For That
Position And Blank Paper Ballots May Not Be Used.
5.3.3.4 The Presiding Officer Shall Appoint Three Club Members To Be The
Tellers Committee And Charge Them With Their Function And
Responsibilities.
5.3.3.5 All Handling Of The Ballots Must Be Done By The Members Of The
Tellers Committee Who Shall; Receive The Preprinted Ballots,
Delete All Candidates Names As Instructed By The Presiding
Officer, Pass Out The Ballot Slips And Collect Them After They
Have Been Marked, Prepare All Recast Ballots As Instructed By The
Presiding Officer, Secure Each Set Of Ballots In A Sealed
Envelope Which Has Affixed To Its Face A Summary Of The Voting,
The Ballot Number, The Date And The Signatures Of Each Member Of
The Tellers Committee.
5.3.3.6 At The End Of The Election, The Tellers Committee Shall Give The
Club Secretary The Complete Package Of Secured Ballots, And The
Secretary Shall Keep The Ballots Secure For A Period Of Six
Months And Then Destroy All Of The Ballots.
5.3.3.7 All Questions Arising During The Course Of An Election Shall Be
Settled By A Ruling From The Chair, Except That Any Such Ruling
Can Be Overturned By A Motion To Appeal.
5.3.3.8 The Election Is Final When The Chair Declares The Candidate Or
Candidates To Be Elected.
5.3.3.9 The Chair Shall Declare A Candidate To Be Elected Upon Receipt Of
Such Notification From The Tellers Committee And The Chair At
That Time Shall Announce The Ballot Tally.
5.3.3.10 If Any Ballot For Any Office Or Position Has Been Cast Three
Times Without Any Change In Results, The Tellers Committee Shall
Inform The Chair That An Impasse Has Been Reached, Whereupon The
Tellers Committee Shall Conduct A Drawing Of Lots To Resolve The
Election And The Chair Must Declare The Winning Candidate To Be
Elected.
Section 5.4 ..................... Nominations
5.4.1 The Nominating Committee
5.4.1.1 During The Month Of October The Board Shall Select A Nominating
Committee Of Three Members And One Alternates, Not More Than One
Of Whom Shall Be A Member Of The Board.
5.4.1.2 The Secretary Shall Immediately Notify The Committee Members And
The Alternates Of Their Selection.
5.4.1.3 The Board Shall Name A Chairman For This Committee And It Shall
Be His Duty To Call A Committee Meeting Which Shall Be Held On Or
Before November 15th Of Each Year.
5.4.2 The Nominating Procedure
5.4.2.1 The Nominating Committee Shall Nominate A Minimum Of One
Candidate For Each Office And A Minimum Of Five For The Five
Other Position On The Board.
5.4.2.2 After Securing The Consent Of Each Person Nominated, The Chairman
Of The Nominating Committee Shall Report The Nominations To The
Secretary In Writing.
5.4.2.3 At Least Five Days Prior To The December General Meeting The
Secretary Shall Notify Each Member In Writing Of The Candidates
Which Have Been Nominated.
5.4.2.4 Additional Nominations May Be Made At The December Meeting By Any
Member In Attendance, Provided That The Person So Nominated Does
Not Decline When His Name Is Proposed, And Provided Further That
If The Proposed Candidate Is Not In Attendance At This Meeting,
His Proposer Shall Present To The Secretary A Written Statement
From The Proposed Candidate Signifying His Willingness To Be A
Candidate.
5.4.2.5 No Person May Be A Candidate For More Than One Position And The
Additional Nominations Which Are Provided For Herein May Only Be
Made From Among Those Members In Good Standing Who Have Not
Accepted A Nomination Of The Nominating Committee.
5.4.2.6 Nominations Cannot Be Made At The Annual Meeting, Or In Any
Manner Other Than As Herein Provided.
5.4.2.7 No Person May Be A Candidate In A Club Election Who Has Not Been
Nominated As Herein Prescribed.

6.1.1 The President With The Prior Approval Of The Board, Shall Each Year
Appoint The Chairman Of All Standing And Special Committees.
6.1.2 Special Committees May Be Appointed By The Board To Aid It On
Particular Projects To Advance The Work Of The Club In Any Field
Which May Be Well Served By Committees.
6.1.3 All Standing Committees Other Than The Nominating Committee, All
Special Committees And All Such Committee Activity Shall Be Subject
To The Final Authority Of The Board.

6.2.1 With The Prior Approval Of The Board Any Committee Appointment May
Be Terminated By The President.
6.2.2 The Appointee Shall Receive Written Notice That His Appointment Has
Been Terminated.
6.2.3 The President With The Prior Approval Of The Board, May Appoint
Successors To Those Whose Services Have Been Terminated.

Section 7.1 ..................... American Kennel Club Suspension
7.1.1 Any Member Who Is Suspended From The Privileges Of The American
Kennel Club Shall Automatically Be Suspended From Privileges Of
This Club For A Like Period.
7.1.2 Any Suspended Member Shall, Upon Attending His Second Consecutive
Club Meeting After The AKC Suspension, Be Reinstated Without
Prejudice Except That He Shall Not Automatically Be Reinstated To
Any Former Office Or Position.
Section 7.2 ..................... Charges
7.2.1 Any Member May Prefer Charges Against Another Member For Misconduct
Prejudicial To The Best Interests Of The Club Or The Board.
7.2.2 Written Charges With Specifications Must Be Filed In Duplicate With
The Secretary Together With A Deposit Of Ten Dollars Which Shall Be
Forfeited If Such Charges Are Not Sustained.
7.2.3 The Secretary Shall Promptly Notify The Board, Which Shall Fix A
Date Of A Board Hearing Which Must Be Held Not Less Than Three
Weeks Nor More Than Six Weeks After The Charges Have Been Filed.
7.2.4 The Secretary Shall Promptly Send One Copy Of The Charges The
Accused Member By Registered Mail Together With A Notice Of The
Time, Date And Place Of The Hearing, And An Assurance That The
Defendant May Personally Appear In His Own Defense And Bring
Witnesses If He Wishes.
Section 7.3 ..................... Board Hearings
7.3.1 Board Hearings Shall Be Called To Sustain Or Reject Charges Brought
Against Club Members As Herein Prescribed.
7.3.2 The Board Shall Have Complete Authority To Decide Whether Counsel
May Attend The Hearing, But Both Complainant And Defendant Shall Be
Treated Uniformly In That Regard.
7.3.3 Should The Charges Be Sustained, After Hearing All The Evidence And
Testimony Presented By Complainant And Defendant, The Board May By
A Majority Vote Of Those Present, Suspend The Defendant From All
Privileges Of The Club For Not More Than Six Months From The Date
Of The Hearing, And If The Board Deems That Punishment
Insufficient, It May Also Recommended To The Membership That The
Penalty Be Expulsion.
7.3.4 If The Board Recommends Expulsion, The Suspension Shall Not
Restrict The Defendants Right To Appear Before His Fellow Members
At The Ensuing Meeting Which Considers The Boards Recommendation.
7.3.5 Immediately After The Board Has Reached A Decision Its Findings
Shall Be Put In Written Form And Filed With The Secretary, Who In
Turn Shall Notify Each Of The Parties Of The Boards Decision And
Penalty, If Any.
Section 7.4 ..................... Expulsion
7.4.1 Expulsion Of A Member From The Club May Be Accomplished Only At A
Meeting Of The Club Following A Board Hearing And Upon The Boards
Recommendation As Herein Prescribed.
7.4.2 Expulsion Proceedings May Occur At A Regular Or Special Club
Meeting To Be Held Within Sixty Days, But Not Earlier Than 30 Days
After The Date Of The Boards Recommendation Of Expulsion.
7.4.3 At The Expulsion Proceedings, The Defendant Shall Have The
Privilege Of Appearing In His Own Behalf, Though No Evidence Shall
Be Taken At This Meeting.
7.4.4 The Presiding Officer At The Expulsion Proceedings Shall Read The
Charges And The Boards Findings And Recommendations, And Shall
Invite The Defendant, If Present, To Speak In His Own Behalf If He
Wishes, Thereupon The Membership Shall Vote By Secret Ballot On The
Proposed Expulsion.
7.4.5 A 2/3 Vote Of Those Present And Voting At The Expulsion Proceedings
Shall Be Necessary For Expulsion.
7.4.6 If Expulsion Is Not So Voted, The Boards Suspension Shall Stand.

Show Plans Committee: The Board Of Directors Shall Appoint
Members Of This Committee And The Committee Members Shall Elect

Club Parliamentarian.

Committee At Each Regular Meeting Of The Club And The Board Of
Directors.

Updating Of The Written Job Description Which Is Applicable To His
Particular Function.

4a.1.1 It Shall Be An Objective Of The Club That No More Than One Member
Of Any Household Unit Of Family Hold An Elective Office At The
Same Time.

4a.2.1 Each Nominee For Each Position Or Officer Or Governor Shall Be
Given And Is Encouraged To Accept The Opportunity To Have
Published In The January Club Newsletter A Synopsis Of His
Qualifications And Objectives For The Position He Is Seeking.
4a.2.2 It Shall Be An Objective To Have The January Newsletter Mailed To
All Members At Least Fourteen Days Prior To The Annual Meeting.
4a.2.3 At The Annual Meeting Just Prior To The Balloting, Each Candidate
Shall Be Given The Opportunity To Make A Verbal Statement Of His
Qualifications And Objectives And To Answer Any Questions Asked.

6a.2.1 In The Event There Is A Contradiction Between The Constitution And

Intercourse With The Saint Bernard Club Of America, And To Strive

One Of An Offer Of Fellowship, Information, Education And / Or
Service.
6a.4.4 The Answering Service For The Advertisement Shall Be Rotated Among
